Welcome to Earth Orbit. These Terms and Conditions ("Terms") govern your access to and use of our website, services, and products. By accessing or using our services, you agree to be bound by these Terms.

Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, you may not access or use our services.

1. Acceptance of Terms

By accessing our website at earthorbit.space or using any of our geospatial intelligence services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

These Terms constitute a legally binding agreement between you (the "Client" or "User") and Earth Orbit ("Company," "we," "us," or "our").

2. Services Description

Earth Orbit provides geospatial intelligence services, including but not limited to:

• Satellite imagery analysis and interpretation
• Land and GIS mapping services
• Water and environmental monitoring
• Urban planning and infrastructure analysis
• Disaster management and risk assessment
• Mining and natural resources mapping
• Oil, gas, and utility infrastructure monitoring
• Custom geospatial data analytics

Service specifications, deliverables, timelines, and pricing are defined in individual service agreements or quotations provided to clients.

3. Eligibility

Our services are intended for use by organizations, government entities, research institutions, and business professionals. By using our services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

4. User Obligations

When using our services, you agree to:

• Provide accurate, current, and complete information during registration and service requests
• Maintain the confidentiality of account credentials (if applicable)
• Use our services only for lawful purposes and in compliance with all applicable laws and regulations
• Not use our services for any illegal, harmful, or fraudulent activities
• Not attempt to gain unauthorized access to our systems or networks
• Not interfere with or disrupt the integrity or performance of our services
• Not reproduce, distribute, or create derivative works from our proprietary data without authorization

5. Service Agreements and Subscriptions

5.1 Service Orders

All service orders are subject to acceptance by Earth Orbit. We reserve the right to refuse service to anyone for any reason at any time.

5.2 Subscriptions

For subscription-based services:

• Subscriptions automatically renew unless cancelled before the renewal date
• Subscription fees are billed in advance on a recurring basis (monthly, quarterly, or annually as specified)
• Cancellation requests must be submitted in writing at least 15 days before the renewal date
• No refunds will be provided for partial subscription periods

5.3 Custom Projects

Custom geospatial projects are governed by individual Statements of Work (SOW) or Service Agreements that specify project scope, deliverables, timelines, and payment terms.

6. Payment Terms

6.1 Fees and Charges

All fees are quoted in Indian Rupees (INR) unless otherwise specified. Prices are subject to change with 30 days' notice for new orders. Existing contracts will honor original pricing.

6.2 Payment Schedule

Payment terms are specified in individual service agreements. Standard payment terms include:

• Advance payment for subscriptions
• Milestone-based payments for large projects
• Net 30 days for invoiced services (for approved clients)

6.3 Late Payments

Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend services for accounts with outstanding payments exceeding 30 days.

6.4 Taxes

All fees are exclusive of applicable taxes, including GST. You are responsible for all taxes associated with your purchase, except for taxes based on Earth Orbit's net income.

7. Intellectual Property Rights

7.1 Our Intellectual Property

All content, materials, data, analysis, reports, maps, software, and deliverables created by Earth Orbit ("Work Product") are protected by copyright, trademark, and other intellectual property laws. Earth Orbit retains all ownership rights to its methodologies, processes, software, and proprietary technologies.

7.2 License to Clients

Upon full payment, clients receive a limited, non-exclusive, non-transferable license to use the Work Product for their internal business purposes as specified in the service agreement. This license includes:

• Right to use deliverables for internal decision-making and operations
• Right to share with authorized employees and contractors under confidentiality obligations
• Restrictions on redistribution, resale, or public disclosure without written consent

7.3 Client Data

Clients retain ownership of data they provide to us. By providing data, you grant us a license to use it solely for delivering the requested services.

7.4 Third-Party Data

Satellite imagery and certain geospatial datasets may be sourced from third-party providers and are subject to their respective licensing terms, which will be communicated to clients as applicable.

8. Data Accuracy and Disclaimer

While we strive for the highest accuracy in our geospatial analysis and data products, satellite data and remote sensing technologies have inherent limitations. Environmental factors, sensor resolution, and processing methods may affect data accuracy.

We provide our services and data "as is" and "as available." We make no warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of our services or data for any particular purpose.

Clients are responsible for validating and verifying data for their specific use cases. We recommend ground-truthing for critical applications.

9. Limitation of Liability

To the maximum extent permitted by law, Earth Orbit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Unauthorized access to or alteration of your data
• Errors, omissions, or inaccuracies in data or analysis
• Third-party conduct or content
• Any matter beyond our reasonable control

Our total liability for any claim arising from these Terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim in the 12 months preceding the claim, or INR 100,000, whichever is less.

10. Indemnification

You agree to indemnify, defend, and hold harmless Earth Orbit, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use or misuse of our services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any data or content you provide to us

11. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or confidential information disclosed during the course of the service relationship. This obligation survives termination of services.

Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

12. Service Modifications and Termination

12.1 Service Changes

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuance of services.

12.2 Termination by Client

You may terminate subscription services by providing written notice as specified in your service agreement. Project-based services may be terminated according to the terms in the Statement of Work.

12.3 Termination by Earth Orbit

We may terminate or suspend your access to our services immediately, without prior notice, for violation of these Terms, non-payment, or any conduct we deem harmful to our business or other clients.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The Information Technology Act, 2000, and other applicable Indian laws shall apply.

13.2 Jurisdiction

The courts of Bhopal, Madhya Pradesh, India shall have exclusive jurisdiction over any disputes arising from these Terms or our services.

13.3 Dispute Resolution

In the event of any dispute, the parties agree to first attempt resolution through good faith negotiations. If negotiations fail, disputes may be resolved through:

• Mediation by a mutually agreed mediator
• Arbitration under the Arbitration and Conciliation Act, 1996
• Litigation in the courts specified above

14. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including natural disasters, acts of government, war, terrorism, pandemics, labor strikes, or satellite/technology failures not attributable to the party's negligence.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Earth Orbit regarding the use of our services and supersede all prior agreements and understandings.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on our website at least 30 days before taking effect.

Continued use of our services after changes become effective constitutes acceptance of the modified Terms. If you do not agree with the changes, you must discontinue use of our services.
